1. Acceptance of Terms
These Terms of Service ("Terms") constitute a legally binding agreement between you ("User", "you", or "your") and Botfinity Inc., operating as SuperMIA ("Company", "we", "us", or "our"), governing your access to and use of the SuperMIA platform, website (supermia.ai), and all related services.
By accessing or using our services, you agree to be bound by these Terms. If you do not agree to these Terms, you must not access or use the platform.
2. Eligibility
You must be at least 18 years of age to use our services. By using the platform, you represent and warrant that:

- •You have the legal authority to enter into these Terms.
- •If registering on behalf of an organisation, you have the authority to bind that organisation to these Terms.
3. Account Registration
To access certain features, you must create an account. You agree to:

Maintain the security and confidentiality of your login credentials.
Promptly update your account information if it changes.
Accept responsibility for all activities under your account.
We reserve the right to suspend or terminate accounts that violate these Terms or are inactive for an extended period.
4. Services Description
SuperMIA provides an AI-powered platform for creating and deploying voice and chat agents for customer interactions. Our services include:

- •AI Chat Agents: Intelligent chatbot solutions for websites and messaging platforms.
- •Personalized MIA: Custom AI agents tailored to your business needs.
- •Agent Marketplace: Pre-built industry-specific AI agent templates.
- •Analytics & Reporting: Dashboard and insights on agent performance.
We reserve the right to modify, suspend, or discontinue any aspect of the services at any time with reasonable notice.
5. Payment & Billing
Pricing
All fees are listed on our pricing page and are in US Dollars unless otherwise stated. Prices may change with 30 days' notice.
Billing Cycle
Subscriptions are billed monthly or annually depending on the plan selected. Billing begins on the date of purchase.
Payment Methods
We accept credit/debit cards and other payment methods processed securely through Stripe. We do not store your full payment card details.
Auto-Renewal
Subscriptions auto-renew at the end of each billing period. You may cancel auto-renewal at any time through your account dashboard.
Refunds
Payments are non-refundable except as required by applicable law. If you cancel mid-cycle, you retain access until the end of the current billing period.
Taxes
You are responsible for any applicable taxes. Prices displayed may not include local taxes.
6. Acceptable Use Policy
You agree not to use the platform to:
- Violate any applicable law, regulation, or third-party rights.
- Transmit malicious code, viruses, or harmful content.
- Engage in fraud, phishing, or deceptive practices.
- Attempt to gain unauthorised access to our systems or other users' accounts.
- Use the service to generate spam, unsolicited communications, or abusive content.
- Reverse-engineer, decompile, or disassemble any part of the platform.
- Interfere with or disrupt the integrity or performance of the services.
- Use AI agents for purposes that violate healthcare (HIPAA), financial (PCI DSS), or other industry regulations.
Violation of this policy may result in immediate suspension or termination of your account without notice.
7. Intellectual Property
Our Property
The SuperMIA platform, including all software, algorithms, designs, trademarks, logos, and content, is the exclusive property of Botfinity Inc. and is protected by intellectual property laws. Nothing in these Terms grants you any right to use our trademarks or branding without prior written consent.
Your Content
You retain ownership of all data, documents, and content you upload to the platform ("User Content"). By uploading content, you grant us a limited, non-exclusive licence to use it solely to provide and improve the services. We will not use your content for any other purpose without your consent.
Feedback
If you provide feedback, suggestions, or ideas about our services, you grant us a perpetual, royalty-free licence to use and incorporate such feedback without obligation to you.
8. Data & Privacy
Your use of the services is also governed by our Privacy Policy and Cookie Policy, which describe how we collect, use, and protect your personal data.
We are committed to maintaining HIPAA, SOC 2 Type II, PCI DSS, GDPR, and ISO 27001 compliance standards. For enterprise customers, we offer Data Processing Agreements (DPAs) and Business Associate Agreements (BAAs) upon request.
9. Disclaimers & Warranties
THE SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.
We do not warrant that the services will be uninterrupted, error-free, or completely secure. AI-generated responses may not always be accurate, and you should verify critical information independently.
10. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, BOTFINITY INC. AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING OUT OF OR RELATING TO YOUR USE OF THE SERVICES.
Our total aggregate liability for any claims arising under these Terms shall not exceed the amounts you have paid to us in the twelve (12) months preceding the event giving rise to the claim, or one hundred US dollars ($100), whichever is greater.
11. Indemnification
You agree to indemnify, defend, and hold harmless Botfinity Inc. and its affiliates, officers, directors, employees, and agents from and against any claims, losses, damages, liabilities, and expenses (including reasonable legal fees) arising out of or related to your use of the services, violation of these Terms, or infringement of any third-party rights.
12. Termination
By You
You may cancel your account at any time through the platform dashboard. Cancellation takes effect at the end of the current billing period.
By Us
We may suspend or terminate your account immediately if you violate these Terms or engage in activities that harm other users or the platform.
Upon termination, your right to use the services ceases immediately. We will retain your data for 90 days to allow you to export it, after which it will be deleted in accordance with our Privacy Policy.
13. Changes to These Terms
We may revise these Terms at any time by posting updated terms on this page. Material changes will be communicated via email or in-platform notification at least 30 days before taking effect. Your continued use of the services after the effective date constitutes acceptance of the revised Terms.
14. Governing Law & Dispute Resolution
These Terms shall be governed by and construed in accordance with the laws of the State of Texas, United States, without regard to its conflict-of-law provisions.
Any dispute arising under these Terms shall first be resolved through good-faith negotiation. If unresolved within 30 days, either party may submit the dispute to binding arbitration under the rules of the American Arbitration Association (AAA), conducted in Dallas/Fort Worth, Texas. Each party shall bear its own costs unless otherwise awarded by the arbitrator.
15. General Provisions
Entire Agreement
These Terms, together with our Privacy Policy and Cookie Policy, constitute the entire agreement between you and Botfinity Inc. regarding your use of the services.
Severability
If any provision of these Terms is found to be unenforceable, the remaining provisions shall continue in full force and effect.
Waiver
Our failure to enforce any right or provision of these Terms shall not be deemed a waiver of such right or provision.
Assignment
You may not assign or transfer these Terms without our prior written consent. We may assign our rights and obligations without restriction.
Force Majeure
Neither party shall be liable for delays or failures in performance resulting from circumstances beyond reasonable control, including natural disasters, war, terrorism, pandemics, or government actions.
