These Terms & Conditions ("Terms") govern your access to and use of Botfinity's Site and the products and services branded as Super MIA / MIA and related offerings, including any applications, dashboards, APIs, integrations, voice and chat capabilities, and related tools and content (collectively, the "Services").
By accessing or using the Services, you agree to these Terms. If you are using the Services on behalf of an organization, you represent and warrant you have authority to bind that organization, and "you" includes that organization.
1. The Services
Super MIA provides a conversational AI software platform that may enable AI voice and chat agents, automated workflows, integrations, knowledge base usage, analytics, and related features. We may change, add, suspend, or discontinue any part of the Services at any time.
2. Eligibility
- •You must be able to form a binding contract to use the Services.
- •If you are under 18, you may use the Services only with consent and supervision of a guardian.
- •If you are under 13, you may not use the Services.
3. Accounts and Security
If you create an account, you agree to:
Provide accurate, complete information
Keep credentials and API keys secure
Notify unauthorized use
Be responsible for activities under your account
4. Acceptable Use
- Use Services only for lawful purposes
- No malware, phishing, scams, spam
- No IP infringement
- No unauthorized system access
- No stress-testing without permission
- No reverse engineering except allowed by law
- No building competing products via scraping outputs
We may suspend or terminate access if violated.
5. AI Outputs and Human Oversight
The Services may generate outputs using automated systems. You understand and agree:
- •Outputs may be inaccurate or inappropriate
- •You are responsible for verifying outputs before relying on them
- •You are responsible for decisions, actions, and outcomes based on outputs
- •You should implement appropriate testing, monitoring, and human oversight, especially in regulated or high-stakes contexts
6. No Professional Advice; No Emergency Use
The Services do not provide medical, legal, financial, or other professional advice. Do not use the Services for emergencies. If you believe you have an emergency, contact emergency services immediately.
7. Voice, Messaging, and End-User Consent
The Services may support voice calling, SMS, and other communications.
You are solely responsible for obtaining and maintaining any legally required notices, permissions, and consents from end users, including for automated calls/texts, and for providing opt-out mechanisms where required. Message delivery and call connectivity can be affected by carriers and third-party networks and are not guaranteed.
8. Call Recording (Optional)
If call recording is available, it is optional and controlled by you. If you enable recording, you represent and warrant that you will:
- •Provide any required recording disclosures
- •Obtain any legally required consent from call participants
- •Comply with applicable call recording laws and regulations
9. Subscriptions, Billing, Auto-Renewal, and Taxes (Self-Serve)
9.1 Monthly Billing
Subscriptions are billed on a monthly basis unless stated otherwise at checkout.
9.2 Auto-Renewal
Your subscription automatically renews at the end of each billing period unless you cancel before the renewal date.
9.3 Cancellation
You may cancel through your account settings (if available) or by contacting hello@supermia.ai. Cancellation takes effect at the end of the then-current paid billing period unless otherwise stated at checkout.
9.4 No Refunds
All fees are non-refundable, except where required by law.
9.5 Failed Payments / Past Due Accounts
If payment fails or your account becomes past due, we may suspend, downgrade, or limit Services until payment is resolved. You remain responsible for all charges incurred.
9.6 Taxes
Prices may exclude taxes. You are responsible for applicable taxes, duties, or similar government charges.
10. Trials, Betas, and Promotions: Trials, betas, and promotional offers (if any) may be time-limited and can change or be discontinued at any time. Beta features are provided "as is" and may have reduced reliability.
11. Third-Party Services and Integrations
The Services may integrate with third-party products and may rely on third-party providers (including telephony, messaging, and model providers).
Third-party services are not controlled by Botfinity. We are not responsible for third-party outages, changes, errors, or issues. Your use of third-party services may be governed by their own terms and privacy policies, and you are responsible for reviewing and accepting those terms as needed.
12. Data, Privacy, and Retention
12.1 Privacy: Your use of the Services is also governed by our Privacy Policy. If there is a conflict between these Terms and the Privacy Policy regarding privacy/data handling, the Privacy Policy controls.
12.2 Customer Data: "Customer Data" means information and content you or your end users submit to the Services, including prompts, knowledge base content, files, transcripts, conversation logs, and recordings (if enabled). You represent and warrant you have all rights, permissions, and consents necessary to provide Customer Data and allow Botfinity to process it to provide the Services.
12.3 How Botfinity Uses Data: Botfinity processes Customer Data to provide, secure, maintain, and support the Services; prevent abuse; comply with law; and enforce these Terms. We may collect and use aggregated or de-identified service telemetry and analytics ("Usage Data") to operate, protect, and improve the Services.
12.4 Model Training and Third-Party LLM Providers: Botfinity does not use your Customer Data to train or fine-tune Botfinity-owned models by default. However, the Services may transmit prompts and Customer Data to third-party AI/LLM providers you use through the Services. Those providers may process data under their own terms and policies.
12.5 Retention and Deletion: Unless a longer period is required by law or agreed in writing, we generally retain Customer Data for up to 90 days after account cancellation or termination, after which it may be deleted from active systems (subject to reasonable backup and security log retention).
13-15. User Content License, Intellectual Property, and Feedback
13. User Content License
You retain ownership of Customer Data and other content you upload or create. You grant Botfinity a worldwide, non-exclusive, royalty-free license to host, store, reproduce, process, transmit, and display User Content solely to provide and secure the Services and comply with law. We may remove or restrict access to User Content if we believe it violates these Terms or applicable law.
14. Intellectual Property
Botfinity (and its licensors) own the Services, including software, designs, trademarks, and all related intellectual property. Subject to these Terms and your subscription status, you receive a limited, non-exclusive, non-transferable, revocable license to use the Services. You may not copy, modify, distribute, sell, lease, or create derivative works of the Services except as allowed by law or with Botfinity's written permission.
15. Feedback
If you provide feedback, ideas, or suggestions, you grant Botfinity a perpetual, worldwide, royalty-free license to use them without restriction or compensation.
16-17. Service Levels, Suspension, and Termination
16. Service Levels (SLA): Any uptime, support response times, or service level commitments apply only if explicitly agreed in a separate written enterprise agreement signed by Botfinity.
17. Suspension and Termination: You may stop using the Services at any time. We may suspend or terminate your access if:
- •You violate these Terms or applicable law
- •Your use creates security, legal, or operational risk
- •You fail to pay fees when due
- •Required by law or by third-party providers
Upon termination, your right to use the Services ends. Sections that should survive (including IP, disclaimers, limitation of liability, indemnity, and dispute terms) will survive.
18-20. Disclaimers, Limitation of Liability, and Indemnification
18. Disclaimers: The Services are provided "as is" and "as available." To the maximum extent permitted by law, Botfinity disclaims all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We do not guarantee uninterrupted operation, error-free performance, or the accuracy of AI outputs.
19. Limitation of Liability: To the maximum extent permitted by law, Botfinity will not be liable for indirect, incidental, special, consequential, or punitive damages, or lost profits/revenue, lost data, or business interruption. Botfinity's total liability for any claim arising out of or relating to the Services will not exceed the amount you paid Botfinity for the Services in the three (3) months prior to the event giving rise to the claim (or $100 if you paid nothing).
20. Indemnification: You agree to defend, indemnify, and hold harmless Botfinity and its affiliates from any claims, liabilities, damages, and expenses (including reasonable attorneys' fees) arising out of your use of the Services, your Customer Data/User Content, your violation of these Terms or law, your communications with end users (including consent for calls/messages), and your integrations, workflows, and deployment choices.
21-23. Legal and Compliance
21. Copyright Complaints (DMCA): If you believe content on the Services infringes your copyright, send a notice to hello@supermia.ai including your contact information, description of the copyrighted work, location of allegedly infringing material, a good-faith statement, and a statement under penalty of perjury.
22. Export Compliance and Sanctions: You may not use the Services if prohibited under U.S. export control or sanctions laws or if you are located in an embargoed country. You agree to comply with applicable export and sanctions regulations.
23. Governing Law and Venue: These Terms are governed by the laws of the State of Texas, without regard to conflict-of-law rules. Any dispute will be brought in state or federal courts located in Texas, and you consent to jurisdiction and venue there.
24. Changes to Terms
We may update these Terms from time to time. The Effective Date will reflect the latest version. Continued use of the Services after changes means you accept the updated Terms.
